3. Client Obligations

4. Payment Terms

  • Monthly services: Payment in advance at the start of each month
  • Payment is due within 14 days of invoice unless otherwise agreed
  • Late payments may incur interest at 4% above the Bank of England base rate

Client Materials

You retain ownership of any materials you provide to us. You grant us a licence to use these materials to provide our services.

Deliverables

Upon full payment, ownership of custom deliverables (such as website designs) transfers to you, except for any third-party components which remain subject to their respective licences.

We will keep confidential any non-public information you share with us. This obligation does not apply to information that is publicly available or that we are required to disclose by law.

7. Limitation of Liability

To the maximum extent permitted by law:

  • We do not guarantee specific results from our services
  • Our liability is limited to the fees paid for the relevant services
  • We are not liable for indirect, consequential, or incidental damages
  • We are not responsible for third-party service outages or changes

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

8. Termination

Either party may terminate ongoing services with 30 days' written notice. Upon termination:

  • Outstanding fees become immediately due
  • We will provide reasonable assistance in transitioning services
  • You retain ownership of completed deliverables (subject to payment)

9. Force Majeure

Neither party is liable for delays or failures in performance resulting from circumstances beyond their reasonable control.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the new Terms.
